Terms of Service
Please read these terms carefully before using the AmaraWealth platform, APIs, or any associated services.

1. Acceptance of Terms
By accessing or using any service offered by AmaraWealth Private Limited ("AmaraWealth", "we", "our", "us"), including the platform at amarawealth.ai, any white-label implementations, APIs, SDKs, or related tools (collectively, the "Services"), you ("User", "Partner", "Institution") agree to be bound by these Terms of Service ("Terms").
If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization, and the word "you" shall refer to that organization. If you do not agree to these Terms, do not use the Services.
2. Description of Services
AmaraWealth provides a modular B2B wealth management platform, including but not limited to:
- White-label digital wealth management solutions for banks and NBFCs
- Embedded finance APIs for fintechs and application developers
- AI-driven investment analytics and behavioural nudge systems
- LifeQuest — a financial literacy platform for students aged 5–17
- LifeQuest Plus — a financial literacy and investment onboarding platform for users aged 17+
- Distribution partner tools for MFDs, IFAs, and RIAs
The Services are provided subject to applicable regulatory requirements, including those of the DFSA (Dubai Financial Services Authority) and relevant financial regulators in jurisdictions where partner institutions operate, including SEBI, AMFI, RBI, and IRDAI as applicable.
3. Eligibility
To use the Services, you must be at least 18 years of age and have the legal capacity to enter into a binding agreement under applicable law. Institutional clients must be duly incorporated and in good standing under applicable law. Where required, clients must hold appropriate regulatory registrations (e.g., SEBI MFD/RIA registration, DFSA authorisation, or equivalent) prior to using regulated features of the platform.
4. Accounts and Access
Access to certain Services requires creation of an account. You are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You must notify AmaraWealth immediately of any unauthorized use of your account. AmaraWealth is not liable for any loss arising from your failure to protect account credentials.
Institutional accounts issued API keys must store those keys securely. Keys must not be exposed in client-side code, version control systems, or any publicly accessible repository.
5. Permitted Use and Restrictions
You may use the Services solely for lawful business purposes in accordance with these Terms and applicable law. You must not:
- Use the Services to provide investment advice without holding the requisite SEBI registration
- Reverse engineer, decompile, or disassemble any component of the platform
- Use automated means to scrape, crawl, or extract data without prior written authorization
- Introduce malicious code, conduct penetration testing, or attempt to circumvent security controls
- Resell, sublicense, or transfer API access without a separate written agreement with AmaraWealth
- Use the platform infrastructure for any purpose other than wealth management and related financial services
6. Intellectual Property
All rights, title, and interest in and to the Services, including software, interfaces, algorithms, content, trademarks, and documentation, are owned exclusively by AmaraWealth or its licensors. These Terms do not grant you any ownership rights.
Partner integrations may use AmaraWealth trademarks and branding only as set out in a separate Brand Usage Agreement. Unauthorised use of AmaraWealth's intellectual property is prohibited.
7. Data and Privacy
The collection and processing of personal data through the Services is governed by the AmaraWealth Privacy Policy, which is incorporated into these Terms by reference. AmaraWealth processes data in compliance with applicable data protection regulations across the jurisdictions in which it operates.
Institutional clients acting as data fiduciaries for their end-users are responsible for obtaining valid consent under the DPDP Act prior to sharing personal data with AmaraWealth for processing.
8. Fees and Payment
The applicable fees for platform access, API usage, and licensing are set out in your specific Order Form or Service Agreement. Fees are due as specified therein. Failure to pay fees may result in suspension or termination of access. All fees are exclusive of applicable taxes (including GST), which shall be borne by the client.
9. Limitation of Liability
To the maximum extent permitted by applicable law, AmaraWealth shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or business opportunities, arising from or in connection with your use of the Services, even if advised of the possibility of such damages.
AmaraWealth's total aggregate liability under these Terms, whether in contract, tort, or otherwise, shall not exceed the total fees paid by you to AmaraWealth in the twelve (12) months prior to the event giving rise to the claim.

Any content, analysis, or recommendations generated by the platform are for informational purposes only and do not constitute a solicitation or offer to buy or sell any security or financial instrument. Past performance is not indicative of future results. All investments are subject to market risk.
10. Indemnification
You agree to indemnify, defend, and hold harmless AmaraWealth and its officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including legal fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any data you provide to or through the Services.
11. Termination
Either party may terminate these Terms upon written notice as specified in the relevant Service Agreement. AmaraWealth may suspend or terminate your access immediately upon material breach of these Terms, non-payment of fees, or if required by law or regulatory authority. Upon termination, your right to use the Services ceases immediately.
12. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the Dubai International Financial Centre (DIFC), without regard to conflict of laws principles. Any dispute arising out of or in connection with these Terms shall first be subject to good-faith negotiation. Unresolved disputes shall be referred to the DIFC Courts, Dubai, UAE, as the court of exclusive jurisdiction. The language of proceedings shall be English.
Nothing in this clause shall preclude either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction.
13. General Provisions
Entire Agreement: These Terms, together with any applicable Order Form and Service Agreement, constitute the entire agreement between you and AmaraWealth regarding the Services.
Amendments: AmaraWealth may update these Terms from time to time. Material changes will be notified via email or platform notice at least 30 days before taking effect. Continued use after the effective date constitutes acceptance.
Severability: If any provision of these Terms is held unenforceable, the remaining provisions shall remain in full force.
Waiver: Failure to enforce any provision shall not constitute a waiver of the right to enforce it in the future.
